These Terms and Conditions ("Terms") are a legal agreement between you and Arsh's Rugs LLC ("Arsh's," "we," "us," or "our") regarding your use of the website at arshs.com (the "Site"), our showroom in Carlstadt, NJ, and any product, rental, or service you purchase from us.

By accessing the Site, creating an account, placing an order, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site or purchase from us.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to place an order or create an account. By using the Site, you represent that you meet this requirement.

We may update these Terms from time to time to reflect changes in our practices, our services, or applicable law. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify customers with active accounts by email.

You may create an account on arshs.com to save your shipping addresses, view order history, and save items to wish lists. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We are not liable for any loss or damage arising from your failure to keep your account credentials secure. We may suspend or terminate your account at any time if we believe it has been used in violation of these Terms.

We make every effort to describe our products accurately, including dimensions, materials, knot count, origin, and color. However, because every hand-knotted rug is a unique handmade piece, slight variations from product photos and descriptions are normal and expected — natural color variation, subtle differences in pattern, and small irregularities in size are characteristics of authentic handmade rugs, not defects.

Color & Photography

Colors displayed on screens vary by device, monitor settings, and ambient lighting. We cannot guarantee that the color shown on your screen exactly matches the color of the rug delivered. If color is critical to your purchase, we recommend visiting our Carlstadt, NJ showroom or requesting additional photos before ordering.

Pricing

All prices on arshs.com are displayed in U.S. Dollars and apply only to orders shipped within the United States. Prices in our showroom or printed materials may differ from online prices. We reserve the right to change prices at any time without prior notice. The price applied to your order is the price displayed at the time you complete checkout.

Errors

The Site may occasionally contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, or availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information on the Site is inaccurate (including after you have submitted your order). If we cancel an order because of a pricing error, we will refund you in full.

Availability

All products are subject to availability. We may discontinue products, limit quantities, or refuse to sell to anyone at our discretion. If an item you ordered is no longer available, we will notify you and offer an alternative or a full refund.

Your placement of an order constitutes an offer to purchase the product at the price stated on the Site, subject to these Terms. No contract exists until we accept your order. We accept your order when we send you an order confirmation by email.

Payment

We accept Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay, PayPal, Shop Pay, Afterpay, and Klarna. By submitting payment information, you represent that you are authorized to use the payment method and that the information you provide is accurate and complete.

Sales Tax

Sales tax is calculated and applied to orders shipped within New Jersey at the current rate of 6.625%. Orders shipping outside New Jersey are not charged sales tax by Arsh's at checkout. For complete details, see our Sales Tax page.

Order Cancellations

We process orders quickly, often the same business day. If you need to cancel or modify an order, contact us at info@arshs.com or (201) 552-2733 as soon as possible. We will accommodate cancellation requests when the order has not yet shipped. Once an order has shipped, our return policy applies.

Suspicious Orders

We reserve the right to refuse or cancel any order, in our sole discretion, that we believe may be fraudulent, that violates these Terms, or that violates applicable law.

We offer free shipping on orders shipped within the 48 continental United States. Shipping outside the continental U.S. (Alaska, Hawaii, U.S. territories, or international destinations) is available on request with a custom shipping quote.

Delivery Times

Stated delivery dates are estimates. We are not responsible for delays caused by carriers, weather, customs, or other circumstances beyond our reasonable control.

Returns

All returns must be authorized by Arsh's in writing before they are returned. To request a return, contact info@arshs.com within fourteen (14) days of receipt with your order number and reason for return.

• Online orders returned in new, showroom condition within 14 days of receipt are eligible for a full refund with no restocking fee
• Buyer pays return shipping unless written approval to the contrary is provided in advance
• Returns received without authorization may be refused or subject to a 25% restocking fee at our discretion
• Final Sale and Clearance items are not returnable
• Custom-made rugs and orders for rugs that have been cut, modified, or altered are not returnable

From time to time we offer special promotions, discount codes, gift cards, or limited-time offers. Unless otherwise stated, these offers:

• Are valid for a limited time only and may expire without notice
• Cannot be combined with other discounts, promotions, or price-match offers
• Apply only to eligible products and may exclude clearance, custom, or final sale items
• Have no cash value and are non-transferable
• May not be applied retroactively to orders placed before the promotion began

"Suggested Price" or "Sugg. Price" refers to the most recent selling price of an item. "Sale" refers to a reduced offering price. We reserve the right to modify or cancel any promotion at any time.

All content on the Site — including text, graphics, logos, button icons, images, photographs, designs, audio, video, data compilations, and software — is the property of Arsh's Rugs LLC or our licensors, and is protected by United States and international copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, revocable, non-exclusive license to view, download, and print pages of the Site for your personal, non-commercial use only. Any other use — including reproduction, distribution, modification, public display, or creation of derivative works — requires our express written permission.

Trademarks

"Arsh's," "Arsh's Rugs," "Arsh's Fine Rugs," the Arsh's logo, "A Touch of Heaven," and other marks displayed on the Site are trademarks of Arsh's Rugs LLC. Third-party trademarks displayed on the Site are the property of their respective owners. Nothing on the Site grants you any license or right to use any trademark without the written permission of its owner.

You may have the opportunity to submit reviews, comments, photos, feedback, suggestions, ideas, or other materials (collectively, "User Content") through the Site, social media, or email.

License to Us

By submitting User Content, you grant Arsh's Rugs LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the User Content in any media or platform, for any purpose (including marketing and promotion), without compensation to you.

Your Representations

You represent and warrant that: (a) you own all rights in the User Content you submit, or you have obtained all necessary permissions to grant the license above; (b) the User Content does not violate the rights of any third party; and (c) the User Content complies with these Terms and applicable law.

Prohibited User Content

You may not submit User Content that:

• Is unlawful, harassing, threatening, abusive, defamatory, libelous, hateful, or otherwise objectionable
• Is sexually explicit, vulgar, lewd, obscene, or pornographic
• Infringes any copyright, trademark, privacy, publicity, or other right of any third party
• Contains false, deceptive, or misleading information
• Contains viruses or malicious code
• Contains personal information about another person without their consent
• Solicits money, goods, or services from other users
• Promotes political views, candidates, or causes
• Advertises any business other than ours
• Constitutes spam, chain letters, or unsolicited mass communications
• Violates these Terms or applicable law

We may, but are not obligated to, monitor, edit, or remove User Content. We are not responsible for User Content submitted by users, but we reserve the right to remove it at our sole discretion and to suspend or terminate the accounts of users who violate these rules.

The Site may contain links to third-party websites, products, services, or content that we do not own or control. We provide these links for your convenience only. Their inclusion does not imply our endorsement or affiliation.

We are not responsible for the content, accuracy, privacy practices, or terms of any third-party site. Your use of any third-party site is at your own risk and subject to that site's own terms and privacy policy.

We respect the intellectual property rights of others and expect users of the Site to do the same. We respond to clear notices of alleged copyright infringement as required by the Digital Millennium Copyright Act ("DMCA").

Reporting Infringement

If you believe content on the Site infringes your copyright, please send a written notice to our designated agent that includes:

• A description of the material you claim is infringing, with enough information for us to locate it

• A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law

"As Is" Basis

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, EXCEPT AS REQUIRED BY APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARSH'S RUGS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

Manufacturer Warranties

Some products may be covered by separate manufacturer warranties. Please refer to any warranty information provided with your purchase. Basic warranties (if any) are void if the product has been subjected to abuse, neglect, accident, alteration, improper care, commercial use, or has been sold "as is." We do not guarantee against normal wear, fading, colorfastness, or damage caused by cleaning.

Site Availability

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses. We do not warrant the accuracy, completeness, reliability, or currency of any content on the Site.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARSH'S RUGS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING FROM OR RELATED TO YOUR USE OF THE SITE, YOUR PURCHASE OF ANY PRODUCT OR SERVICE, OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Arsh's Rugs LLC and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Site or any product or service purchased from us
• Your violation of these Terms
• Your violation of any third party's rights, including intellectual property, privacy, or publicity rights
• Any User Content you submit
• Your violation of any applicable law or regulation

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

Informal Resolution First

Before initiating any formal dispute, please contact us at info@arshs.com or (201) 552-2733 and describe your concern. We genuinely want to resolve issues amicably and will work in good faith for at least 30 days to do so.

Binding Arbitration

If we cannot resolve a dispute informally, you and Arsh's Rugs LLC agree that any dispute, claim, or controversy arising from or related to these Terms, the Site, or any product or service from Arsh's will be resolved through final, binding, individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration will take place in Bergen County, New Jersey, unless we mutually agree otherwise, or — if you so elect — by telephone or video conference. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND ARSH'S AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

Exceptions

Notwithstanding the above, either party may: (a) bring an individual action in small claims court in Bergen County, New Jersey, for claims within the small claims court's jurisdiction; or (b) seek injunctive or other equitable relief in court for actual or threatened infringement of intellectual property rights.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@arshs.com within 30 days of the date you first agreed to these Terms. Your opt-out notice must include your full name, address, and a clear statement that you wish to opt out.

Survival

This Section 16 will survive the termination of any other relationship between you and Arsh's.

These Terms and any dispute between you and Arsh's are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

To the extent that any dispute is not subject to arbitration (per Section 16), the exclusive jurisdiction and venue for any such dispute will be the state and federal courts located in Bergen County, New Jersey, and you consent to the personal jurisdiction of those courts.

The Site is operated from the United States and is intended for use by U.S. residents. We do not represent that the Site, our products, or our services are appropriate or available for use in any other jurisdiction.

If you access the Site from outside the United States, you do so on your own initiative and at your own risk, and you are responsible for compliance with applicable local laws. Our products comply with U.S. consumer product standards; we do not warrant that they comply with the laws of any other country.

Entire Agreement

These Terms, together with our Privacy Policy, Shipping & Returns Policy, Sales Tax Policy, and any other policies posted on the Site, constitute the entire agreement between you and Arsh's regarding your use of the Site and supersede any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. No waiver of any term by us will be deemed a further or continuing waiver of that term or any other term.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign or transfer these Terms in connection with a merger, acquisition, sale of assets, or operation of law.

Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, labor disputes, supply chain disruptions, transportation difficulties, accidents, fires, natural disasters, war, terrorism, civil unrest, pandemic, or government action.

Electronic Communications

By using the Site or providing us with your email address, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Headings

The headings used in these Terms are for convenience only and have no legal or contractual significance.

Interpretation

As used in these Terms, the word "including" means "including, without limitation."
